You must be at least 13 years of age to use VerzionAI. If you are under 18, you represent that you have your parent or legal guardian's permission to use the Service. By using the Service you represent and warrant that you meet all eligibility requirements.

If you are accessing VerzionAI on behalf of a business or organisation, you represent that you have authority to bind that entity to these Terms.

VerzionAI is an AI-powered platform that allows users to:

• Create a personalised AI version ("Verzion") of themselves by uploading data, voice samples, and other content.
• Interact with their own Verzion or the Verzions of other users via text, voice, and video.
• Ingest and manage personal content to train their AI personality.
• Subscribe to paid tiers for extended features and usage limits.

All interactions on VerzionAI are with artificial intelligence systems. No response is generated by a real human being. AI-generated content may be inaccurate, incomplete, or not reflect the actual views of any person. VerzionAI does not provide medical, legal, financial, or professional advice. Do not rely on AI responses for critical decisions.

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Notify us immediately of any unauthorised use of your account at support@verzion.ai.
• Not share your account credentials with any third party.

VerzionAI is not liable for any loss resulting from unauthorised use of your account where you have failed to safeguard your credentials.

Your Content: You retain ownership of all content you upload, submit, or create on VerzionAI ("User Content"), including voice recordings, images, text, videos, and other materials.

Licence to VerzionAI: By uploading User Content, you grant VerzionAI a worldwide, non-exclusive, royalty-free, sublicensable licence to use, store, process, reproduce, modify, and display your User Content solely for the purpose of operating and improving the Service, including training your personal AI model.

Representations: You represent and warrant that (a) you own or have the rights to all User Content you submit; (b) your User Content does not violate any third-party intellectual property, privacy, or publicity rights; and (c) your User Content complies with these Terms and applicable law.

Deceased User Data ("Legacy Verzion"): If an account holder passes away, their Verzion may remain accessible to approved followers in a "Legacy" mode according to the account's privacy settings. Followers or next-of-kin may contact support@verzion.ai to request account closure.

You agree NOT to use VerzionAI to:

• Upload, create, or distribute illegal, harmful, threatening, abusive, defamatory, obscene, or harassing content.
• Impersonate any real person without their explicit consent, or create a Verzion of another person without authorisation.
• Generate non-consensual intimate imagery or deepfakes of real persons.
• Use the Service to spread misinformation, disinformation, or engage in fraud.
• Attempt to reverse-engineer, scrape, or extract the underlying AI models or data.
• Use the Service in any manner that could damage, disable, overburden, or impair VerzionAI servers or networks.
• Circumvent any access controls, rate limits, or billing enforcement.
• Violate any applicable local, state, national, or international law or regulation.
• Use the Service to contact, harass, or stalk any other user.

VerzionAI reserves the right to immediately suspend or terminate accounts that violate these prohibitions without notice or refund.

VerzionAI offers both free and paid subscription tiers (Core, Pro, Elite). By subscribing to a paid plan:

• You authorise VerzionAI to charge your payment method on a recurring basis (monthly or annually) until cancelled.
• Subscriptions automatically renew unless cancelled before the renewal date.
• You may cancel at any time through the Billing page or Stripe portal; access continues until the end of the current period.
• Refunds are not provided for partial billing periods unless required by applicable law.
• VerzionAI reserves the right to modify pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.
• Payments are processed securely by Stripe. VerzionAI does not store your full payment card details.

Mobile App Purchases: If you access VerzionAI through an iOS or Android application, in-app purchases and subscriptions may be processed through Apple App Store or Google Play and are subject to their respective terms.

Your use of VerzionAI is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

The VerzionAI platform, including its design, software, logos, and all AI models (excluding User Content), are the exclusive property of VerzionAI Inc. and are protected by copyright, trademark, and other intellectual property laws. You may not use VerzionAI's trademarks or branding without prior written consent.

VerzionAI employs automated and human moderation to detect prohibited content. You may report abusive content or users using the Report feature available within the Service or by emailing support@verzion.ai.

VerzionAI reserves the right, but not the obligation, to remove any content that violates these Terms or applicable law.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VERSIONAI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

AI-GENERATED CONTENT IS PROVIDED FOR INFORMATIONAL AND ENTERTAINMENT PURPOSES ONLY. WE MAKE NO REPRESENTATIONS AS TO ITS ACCURACY, COMPLETENESS, OR SUITABILITY FOR ANY PURPOSE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VERSIONAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL VERSIONAI'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO VERSIONAI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

You agree to indemnify, defend, and hold harmless VerzionAI Inc. and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Informal Resolution: Before filing any formal legal claim, you agree to first contact us at legal@verzion.ai and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: If informal resolution fails, any dispute arising out of or relating to these Terms shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. You waive your right to participate in a class action lawsuit or class-wide arbitration.

Exceptions: Either party may bring an individual action in small claims court. Claims for injunctive relief protecting intellectual property rights may be brought in any court of competent jurisdiction.

Governing Law: These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

VerzionAI may suspend or terminate your account at any time for violation of these Terms, with or without notice. You may delete your account at any time through Settings → Danger Zone → Delete Account. Upon termination, your right to use the Service ceases, and VerzionAI will delete your data as described in the Privacy Policy.

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
